Terms of Service

The agreement between you and RecycleIQ.

These Terms of Service are the agreement between you and RecycleIQ. They cover your use of the RecycleIQ software and this website. Please read them — they're short and written to be understood.

1. Accepting these terms

By creating an account, starting a trial, or using RecycleIQ, you agree to these terms. If you're agreeing on behalf of a business, you're confirming you have the authority to bind that business. In these terms, "you" and "your" mean that business.

If you don't agree, don't use the service.

2. What RecycleIQ is

RecycleIQ is subscription software for auto-recycling and salvage yards. It covers vehicle inventory, yard mapping, parts-pull work orders, crew task management, customer notifications, and reporting.

We may add, change, or remove features over time as the product develops. We'll avoid removing features you depend on without notice, but the service will evolve.

You can invite staff members to your account and assign them roles. You are responsible for:

5. If a payment doesn't go through

If a payment fails, we'll let you know and retry. You have a 7-day grace period to fix the payment method.

If it's still unpaid after that, your account switches to read-only. You and your staff can still log in, look at your data, and export it — you just can't create or change records until the balance is paid.

We do not delete your data because of non-payment. Bringing the account current restores full access.

6. Cancelling

You can cancel at any time. Cancellation takes effect at the end of your current billing month — we don't pro-rate partial months.

After cancellation, your account stays available in read-only mode for about 30 days so you can export your data. After that window closes, your data is deleted and can't be recovered. Export what you need before the window ends.

We can suspend or terminate an account for a serious breach of these terms — for example, unlawful use or attempting to access another customer's data. Where circumstances allow, we'll give you a chance to export your data first.

8. Your data belongs to you

You own your data. Your inventory records, work orders, staff records, customer contacts, and everything else you put into RecycleIQ remain yours.

You grant us a limited, non-exclusive licence to host, store, copy, transmit, display, and process that data — only as needed to deliver, support, secure, and maintain the service for you, including making backups and sending the notifications the software is designed to send. That licence ends when your data is deleted.

We may use aggregated and de-identified data — data that doesn't identify you, your business, or any individual — to improve the service and its AI features. We do not sell personal information.

You are responsible for the data you put in: that you have the right to collect and use it, and that your use of it complies with privacy and anti-spam laws. How we handle personal information is described in our Privacy Policy.

9. Our staff can access your account for support

To operate, support, troubleshoot, and maintain the service, RecycleIQ staff can access your account data. Access is limited to staff who need it and is logged internally. This is a normal part of running hosted software, and by using RecycleIQ you're agreeing to it. See our Privacy Policy for more detail.

10. Payments you take from your own customers

If you use RecycleIQ alongside payment collection from your own customers, those payments run through your own Stripe account, under your agreement with Stripe.

RecycleIQ is not a party to those transactions. We do not hold, receive, or control those funds. Chargebacks, refunds, disputes, payout timing, fees, and tax handling on those sales are between you, your customer, and Stripe. You are responsible for complying with Stripe's terms and with any card network or payments rules that apply to your business.

11. Service availability

We use commercially reasonable efforts to keep RecycleIQ available and working.

We do not offer an uptime guarantee or service level agreement during the early and pilot period. There will be maintenance windows, occasional outages, and issues with third-party providers we depend on. We'll try to schedule planned maintenance outside peak hours and give notice where we reasonably can.

Keep your own copies of critical records. We take backups, but you should not treat RecycleIQ as your only record of your business.

12. AI features

Some RecycleIQ features use artificial intelligence to suggest, summarize, categorize, or generate content.

AI output is assistive, not authoritative. It can be wrong, incomplete, or out of date. A person should review AI-generated output before you rely on it for pricing, safety, compliance, legal, financial, or customer-facing decisions. AI features are not a substitute for your own judgement and expertise, and you remain responsible for decisions made in your business.

To provide these features, relevant content is sent to our AI provider (Anthropic) for processing. AI functionality may change or be discontinued as the underlying technology changes.

13. Our intellectual property

RecycleIQ — the software, its interface, design, documentation, name, and logo — belongs to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. Nothing here transfers ownership of the software to you.

If you send us feedback or feature suggestions, we're free to use them without owing you anything.

14. Warranty disclaimer

The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the data or output it produces will be accurate or complete. Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.

15. Limitation of liability

To the maximum extent permitted by law:

These limits apply regardless of the legal theory and even if we were told the damages were possible. Nothing in these terms limits liability that can't be limited by law.

16. Indemnity

You agree to defend and indemnify RecycleIQ against third-party claims, damages, losses, and reasonable legal costs arising from your use of the service, your data, your violation of these terms, or your violation of any law or third-party right — including privacy, anti-spam, and consumer protection laws relating to the customers you contact through the platform.

17. Changes to these terms

We may update these terms as the product and the law change. We'll update the "Last updated" date, and for material changes we'll give notice by email or in the app before they take effect. Continuing to use RecycleIQ after that means you accept the updated terms. If you don't accept them, cancel your subscription.

18. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction over any dispute, and both parties agree to that venue.
